What characteristics represent GNC's ideal international franchise candidate? |

Since GNC develops international markets on a country-wide basis, our ideal candidate is a financially secure corporation that is native to the country being developed. The company should have the wherewithal to develop a minimum of 25 stores - depending on the country's demographics - within about four years. |

How much is the total investment needed to secure an international development agreement with GNC? |

Developing GNC retail stores throughout a country requires a substantial investment. Although it varies, typically the initial investment is upwards of $1 million (U.S. dollars). |

Do I purchase inventory from GNC? |
| A. |
There are certain brand names and product requirements for your stores' inventory that may be purchased from GNC or other manufacturers and distributors. However, GNC brand supplements which are part of your required inventory can only be purchased from GNC. Whenever possible, we use the combined purchasing strength of our global chain to affect purchasing economies that will benefit your stores and the entire operation. |

What is the term of the Development Agreement? |

The initial term is 10 years, after which the agreement may be negotiated for renewal twice for additional five-year terms. Renewal is subject to our approval, current franchise terms and conditions, and renewal fees, which are less than the initial franchise fee. |

What is the charge for ongoing royalty fees? |
| A. |
The royalty fee is currently five percent of your monthly gross sales (on both the Development and Distribution Agreements) and is exclusive of any sales tax and documented refunds. |

You will be awarded an exclusive protected territory under the terms of your Franchise Development and Distribution Agreements. |

Do I receive training from GNC? |
| A. |
Yes. International franchisees must attend and successfully complete a three-phase training program provided by GNC. The program includes local in-store training in Ft. Lauderdale, Florida, classroom training in Pittsburgh, Pennsylvania, and on-site support from your assigned International Franchise Consultant. The cost of training is included in the initial franchise fee. Franchise operators pay the cost of transportation, lodging and some meals for themselves and their employees. |

What form of continuing operational guidance will I receive? |

You will receive the GNC International Franchise Operations Manual to help you guide the day-to-day operations of your stores. Also, you will be assigned a dedicated International Franchise Consultant to help you with inventory management, product purchases and technical assistance. In addition, GNC provides guidance and resources for your ongoing purchasing, promotional, operational and other business needs. |

Can I sell my GNC franchise? |

Yes. Like any other business, you can sell your stores to a buyer approved by the company. There is a transfer fee for administrative, legal and training expenses to effect the transfer, and the company has a right to match any offer you receive. |

Your earnings capability will depend on various factors - such as your locations, the amount of time you spend in your stores, your business and retail acumen, as well as market conditions. Naturally, as in any business venture, there is no guarantee of your success or profitability. We do, however, minimize your risk by giving you the benefit of a well-organized system and a concept refined by our many years of experience. |

Our franchise agreement is a valued document which we do not indiscriminately distribute. However, once you have a personal meeting with a member of our International staff, we will be happy to provide you with copies of our Franchise Development and Distribution Agreements. |

I'm ready to go! What do I do? |
| A. |
Submit to the Ft. Lauderdale office the completed application form, along with your personal or your company's financial statements for the last two years, or a recent copy of your company's annual report. If you qualify, we can begin the process leading to opening your GNC stores.
